VICE-PRESIDENT SEARCH COMMITTEE
TERMS OF REFERENCE
1.
Purpose
The purpose of the Vice-President Search Committee (“Committee”) is to advise the President and Vice-
Chancellor (“President”) on the search for a Vice-President, evaluate candidates and recommend a
candidate(s) to the President, in accordance with any conditions imposed by the President.
2.
General
a. As part of the process, the President shall solicit the views of a broad range of representatives in the
Mount Royal community, including the Board of Governors, General Faculties Council, Deans’ Council,
faculty, students, staff and managers, as appropriate, regarding criteria for the selection of candidates.
b. The President may retain and oversee the work of an executive recruitment consultant to assist in the
search for a Vice-President.
3.
Search Committee Responsibilities
a. The Committee is advisory to the President.
b. The Committee shall review summary input of feedback from the President’s consultations with the
Mount Royal community.
c. The Committee shall recommend a position profile and criteria for the selection of candidates to the
President for approval, and the approved position profile and criteria shall be made public in the Mount
Royal community.
d. The Committee, with the assistance of the consultant if one is retained, shall invite nominations and
applications for the vacancy nationally.
e. The Committee, with the assistance of the consultant if one is retained, shall establish an acceptable
long list of candidates.
f. The Committee shall shorten the list of candidates to the prime finalists and rank the desirable
candidates on the short list and recommend a candidate, or ranked candidates, for appointment as
Vice-President to the President.
g. In the event that none of the candidates is deemed desirable by the Committee or in the event that the
President does not choose, or succeed in the appointment of, a candidate recommended by the
Committee, the search process shall be reactivated.

b. The President reserves the right to appoint up to three additional members-at-large if it is deemed
appropriate to mitigate under-representation from the equity-deserving groups and/or to provide better
representation of the portfolio. These individuals may be members of any part of the University
community, except for senior administration.
c. Appointment of each person to the Committee, as defined above, shall be considered on their
agreement to maintain in confidence all of the information discussed by the Committee and to exercise
their authority and responsibility as an individual in order that decisions may be taken at the time and
place of the Committee meetings.
d. If any member of the Committee becomes, or seeks to become, a candidate for the position, they shall
resign from the Committee.
e. If any members of the Committee leave or are terminated, the President may appoint a replacement, in
consultation with the appropriate stakeholder group.
5.
Resources (non-voting)
a. The Associate Vice-President, Human Resources (“AVP, HR”), or designate, shall serve as a resource
to the Committee.
b. The President may appoint an individual to serve as Recording Secretary for the Committee.
6.
Meetings
a. Meetings of the Committee shall be at the call of the Chair.
b. All meetings of the Committee shall be held in camera.
c. Quorum for Committee meetings shall consist of a simple majority of Committee members and must
include the President.
d. There shall be no provision for proxies, substitutes or alternates.
7. Confidentiality
a. All discussions regarding the search and appointment of a Vice-President shall be carried out in
confidence.
b. Committee members will be asked to sign an agreement outlining the terms of confidentiality in order to
serve.
c. Information regarding applicants, potential applicants and interviews shall remain confidential to the
Committee and others as deemed appropriate by the Committee.
8. Conflict of Interest
a. If any member of the Committee is in conflict of interest or perceived conflict that could reasonably be
seen to compromise the judgement of candidate(s), the Committee member must disclose the nature of
the conflict to the Chair to determine if the members should continue to serve on the Committee.
9. Records
a. The records of the Committee’s decisions shall be maintained by the Office of the President in the form
of correspondence related to those decisions, legal documents and minutes of meetings, as
appropriate.
b. At the conclusion of the process, individual committee members will be required to destroy all notes and
documents they have accumulated during the search process.
